Terms and Conditions: Free EV Charger Revenue Share Program

Welcome to the Free EV Charger Revenue Share Program provided by Northeast Green Energy Magnet. By participating in this Program, you agree to the following terms and conditions. Please read them carefully.

Eligibility

1.1 The Program is open to commercial property owners, managers, and entities located within the designated service areas.
1.2 Participants must provide proof of property ownership or authorization to install EV chargers on the premises.

Program Details

2.1 Under this Program, the Company will install and maintain EV chargers at no upfront cost to the Participant.
2.2 Revenue generated from the chargers will be shared between the Company and the Participant as per the agreed-upon percentage outlined in the separate Revenue Share Agreement.
2.3 The Company retains the right to update, modify, or discontinue the Program with prior notice.

Participant Obligations

3.1 Provide necessary permissions, access, and documentation for site assessments and installations.
3.2 Ensure the site complies with local zoning, utility regulations, and permitting requirements.
3.3 Maintain the surrounding property and ensure the chargers are not obstructed or damaged due to negligence.

Ownership and Maintenance

4.1 The EV chargers and related infrastructure remain the property of the Company.
4.2 The Company is responsible for all maintenance, repairs, and upgrades to ensure the chargers remain operational.
4.3 Participants shall not alter or relocate the chargers without prior written consent from the Company.

Revenue Sharing

5.1 Revenue from the chargers will be calculated on a monthly basis and distributed as per the Revenue Share Agreement.
5.2 Payments will be made via the agreed-upon payment method within 30 days after the end of each calendar month.
5.3 Participants are responsible for any taxes or financial reporting related to their share of the revenue.

Liability

6.1 The Company will not be held liable for damages caused by misuse, vandalism, or third-party interference with the chargers.
6.2 The Participant assumes responsibility for ensuring a safe and accessible site for the chargers.

Termination

7.1 Either party may terminate this agreement with 60 days’ written notice.
7.2 In the event of termination, the Company will remove the EV chargers and associated equipment at its expense.

Dispute Resolution

8.1 Any disputes arising from this Program shall be resolved through arbitration in accordance with the laws of [Your State].
8.2 Legal costs for arbitration will be borne by the respective parties unless otherwise decided by the arbitrator.

Changes to Terms

9.1 The Company reserves the right to update these terms and conditions. Updates will be communicated to Participants 30 days before they take effect.
